继收购乐宁(上海)教育中心、戴尔国际英语后,以朗文品牌和新概念英语教材享誉中国的培生集团近日再出重拳,用1.45亿美元现金收购了华尔街英语(中国)所有股权。而这也引发了投资界对教育并购的大力关注。

“教育是国内重要的消费领域,具备巨大的潜力,未来必然会出现行业整合者,而经过去年一年非常火暴的投资培育,如今的教育行业正在呈现出并购投资加速的态势。培生集团的此次收购只不过是其中的一例而已。”英联投资执行董事孙涛在接受《中国联合商报》记者采访时如此表示。

事实上,除了培生集团,新东方教育科技集团也一直在寻找并购良机。而北京铭师堂考试培训学校和长春市同文高考培训学校,便是新东方并购的得意手笔。另外对并购虎视眈眈的还有诺亚舟和正保教育集团以及巨人教育集团等。其中诺亚舟收购了博英教育,正保教育集团收购了英能培训网、东方育才。

对此种种,美国中经合集团合伙人熊伟在2009(第二届)中国教育产业创投发展时代峰会上甚至认为,2009年中国教育行业将迎来并购高峰,同时也会有更多细分领域中占据领先地位的发展期或扩张期教育企业获得投资。

细分领先企业被看好

“不管怎么说,呈现出清晰可信的盈利模式始终是说服投资者的关键,这体现在靠并购扩张的企业更是如此。我觉得在这个方面各细分领域中的领先企业通常都做得相对不错。”考试和教育服务供应商ata公司的董事长马肖风对《中国联合商报》记者分析说。

综观投资界的几次大手笔投资,在这方面的表现也可谓是淋漓尽致。“通过软件和互联网技术,将教育标准化,积累化。然后大建渠道,搭平台,进行广泛复制。”这是英联看好安博教育集团,也敢于斥1.03亿美元巨资投资的重要原因。而正是有了这个好的赢利模式,安博集团通过并购,建立各地省级区域中心的行为才被认可。

最近斥资1.45亿美元收购华尔街英语(中国)所有股权的培生集团也是这样。“华尔街英语现在是国际高端英语教育培训细分领域的品牌,华尔街英语(中国)也通过并够在北京、上海、广州和深圳等7个城市建立了39家培训中心。它们的业绩显示,在2006至2008年间,华尔街英语(中国)年平均销售额增长率超过40%,今年预计销售额将达7000万美元。”

“作为上市公司,我们也在寻找并购方面的投资机会。对并购项目来说,除了要有一个好的商业模式之外,我们也看重一些内容和它的服务,毕竟如果没有好的内容,学员最终也不会接受。另外,在学习问题的时候能够提供很好的帮助、完美的服务也最关键。”在纽交所上市的正保远程教育集团副总裁郎元鹏如此向《中国联合商报》记者表示。

对此,盛景网联培训集团董事长彭志强深有同感:“教育行业的市场化运作非常快,其中最重要的一个方式就是并购。目前我们已经投资了清华科技园、清华紫光等,并且也要扩大到二十个城市,未来要达到50个甚至100个,另外我们还要开发在线学习系统,通过资本的纽带和品牌的纽带进行链接,从而走向品牌管理的规模化。”

“精耕细作”是关键

作为“vc布道者”,智基创投总经理陈友忠认为金融危机下,教育企业并购经营更需要“精耕细作”。陈友忠在接受《中国联合商报》记者采访时透露:“智基与上海一家专注于幼儿软技能培养的幼教机构已基本谈妥投资条款,只待法律文件最后完成,本次投资规模为500万美元。”

而摇篮网总裁高翔也向《中国联合商报》记者透露:“我们正在完成从网络媒体向婴幼儿网络教育转型。为此我们还在探寻三岁幼儿上网的可能性。”

对此,学科网ceo陈学艺认为,并购后的精耕细作主要体现在两个方面:一个是整合,另一个是创新。“现在中国有很多做教育的公司,在获得了大笔的资金后,开始不停地并购。而并够的方式就是‘大鱼吃小鱼,小鱼吃虾米’。这种情况下,创新就非常重要。这里的创新除了指公司并购后在形态上发生变化外,更重要的是要从各并购企业的内容上下功夫,至少得保证并购后企业品质不变。”

启明创投副总裁黄涛对此表示关注:“很多教育企业在融到资以后,开始寻找并购机会,而后的管理往往跟不上。要知道管理是需要精细化的,说到底体现的是企业的核心竞争力,因此必须精心做好、做透。”

ezcapital的最新统计显示,教育产业多个细分行业并购前景广阔。从教育行业各细分市场融资金额来看,职业教育获得投资金额最高,融资总额为7.82亿元人民币(约合1亿美元),占教育培训市场融资总额的48%。其次分别为教育投资4.85亿元人民币(约合6928万美元)、学历教育投资2.49亿元人民币(约合3550万美元)。

■记者观察:在“灰色地带”游走

教育产业在中国经过十年的发展,已经极具投资潜力无可争议。但这并不意味着教育产业的投资就没有任何问题。

“我看教育投资有几年的时间了,但一直没有下单。很大一个原因是,目前很多民办大学或者教育培训机构,仍然处在一个法律的灰色地带。比如国家的教育法,强调鼓励民营资本进入,但是教育本质上仍被定义为一个非盈利机构。”开投基金合伙人陈洪武如此表示。

根据陈洪武的说法,现在包括很多的教育公司上市,在利润的转移方面,采用了一些协议的方法,如果严格去按法律约束,这里面就隐藏着很多风险。所以,大部分的企业就只能在这个灰色的地带当中去寻找到一些好模式。“我觉得这里头是有风险的,而且很可能会影响整个教育领域未来的投资发展。”陈洪武说。

全国数百学生舞弊

去年12月27日，杭州市公安局查获浙江某大学学生郭某从重庆一自称“杨老师”的女子处购得全国大学英语四级考试试题答案，经教育部认定，该答案的准确率为85％左右。此后，从郭某处联系购买答案的有110人左右，郭某共收到20万余元赃款。

重庆市公安机关迅速侦查，破获了这起倒卖全国大学英语四级考试试题和答案案件，并抓获了该团伙成员。
